These Terms of Use (the “Terms”) govern your access to and use of the website operated by LifeShieldMedical, LLC (“LifeShieldMedical,” “we,” “us,” or “our”). By visiting or using this website (the “Website”), you agree to these Terms and to all applicable laws and regulations. If you do not accept these Terms, do not use the Website.

LifeShieldMedical may update or modify these Terms at any time in its sole discretion, effective upon posting. When changes are made, the “Last updated” date above will be revised. Please review these Terms periodically. Your continued use of the Website after changes are posted constitutes your acceptance of the then-current Terms.

Please note: these Terms apply only to the Website. Separate terms and conditions govern the use of LifeShieldMedical devices and services; those are provided to customers and available upon request.

The content on this Website includes material owned by LifeShieldMedical or licensed from third parties and is protected by U.S. and international intellectual property laws. You are granted a limited, revocable, non-exclusive right to view and download Website content for your personal, non-commercial use, subject to these Terms. Except as described in our Privacy Policy, we assume no responsibility for content you provide.

If you provide an email address or mobile number, you may receive emails or text messages from us. Message and data rates or other carrier charges may apply; you are solely responsible for such costs. Check with your carrier regarding applicable rates and charges.

10. Governing Law; Venue; Time to File

These Terms are governed by the laws of the State of Virginia, without regard to conflict-of-laws principles. You agree that any legal action arising out of or relating to the Website or these Terms (to the extent not subject to arbitration under Section 11) will be brought exclusively in state or federal courts located in Virginia, and you consent to their jurisdiction and venue.

Any claim or cause of action related to your use of the Website or these Terms must be filed within one (1) year after it accrues, or it is permanently barred.

11. Dispute Resolution: Arbitration; Waivers

READ THIS CAREFULLY—IT AFFECTS YOUR RIGHTS. By using the Website, you and LifeShieldMedical agree to resolve most disputes through binding individual arbitration, and not in court. Jury trials and class/representative actions are waived.

Scope. This agreement to arbitrate is intended to be construed broadly and covers all claims and disputes arising out of or relating to these Terms, the Website, or your interactions with LifeShieldMedical in connection with the Website.

Rules and Forum. The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, if applicable, the Supplementary Procedures for Consumer-Related Disputes, as modified by this Section. Unless the parties agree otherwise, a single arbitrator with experience resolving commercial disputes will preside. If the selected forum is unavailable, the parties may agree to another reputable arbitration provider or an arbitrator may be appointed pursuant to the Federal Arbitration Act (“FAA”).

Procedures for Small Claims. For claims seeking $10,000 or less, the arbitration will proceed based on written submissions and/or telephonic or online appearances, unless the parties agree otherwise. For larger claims, hearing rights will be determined by applicable rules, and any hearing (if held) will occur in Virginia.

Individual Basis Only. Arbitration will proceed only on an individual basis; class arbitrations, class actions, private attorney general actions, and consolidation of claims are not permitted.

Time Limit. ANY CLAIM SUBJECT TO ARBITRATION MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ACCRUES.

Gateway Issues. The arbitrator has exclusive authority to resolve disputes about the validity, enforceability, or scope of this arbitration agreement. However, if the class-action waiver is found unenforceable, this arbitration agreement will be void as to that dispute, and such dispute must proceed in court as set out in Section 10, with jury-trial and class-action waivers still applying.

FAA Governs. This arbitration agreement evidences a transaction in interstate commerce and is governed by the FAA, 9 U.S.C. §§ 1–16.

Opt-Out: You may opt out of this arbitration agreement within 30 days of your first use of the Website by sending us a written notice stating “Request to Opt-Out of Agreement to Arbitrate.” Instructions for submitting an opt-out notice are available upon request. If you opt out, you agree to litigate exclusively in the courts identified in Section 10, and you still waive any right to a jury trial and to participate in a class or representative action.

This arbitration agreement survives termination of your use of the Website.

12. State-Specific Waivers

California Waiver (Cal. Civ. Code §1542). If you are a California resident, you waive Section 1542, which provides: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor.”

New Jersey Notice. If you access the Website from New Jersey, you (i) assume all risks of losses or damages resulting from your use of or inability to use the Website; (ii) irrevocably waive indirect, special, consequential, punitive, or incidental damages (including any medical-related damages) arising from your use of the Website; (iii) release LifeShieldMedical and its affiliates, employees, agents, representatives, successors, and assigns from any and all claims or causes of action arising directly or indirectly from your use of the Website; and (iv) waive any right to bring a legal action against us for such losses or damages, whether based in warranty, contract, tort, or other legal theory, including alleged negligence.

13. General Terms

The Website is intended for U.S. residents aged 13 or older. Notices required by law may be satisfied by posting on the Website or emailing you at the address you provide. Keep your contact information current; we are not responsible for notices not received due to inaccurate information.

These Terms constitute the entire agreement between you and LifeShieldMedical regarding your use of the Website and supersede prior or contemporaneous understandings on the subject matter. Our failure to enforce any provision is not a waiver. If any provision is found unlawful or unenforceable, it will be enforced to the maximum extent possible and the remaining provisions will remain in full force.

14. Location-Based Services

If you use a LifeShieldMedical IoT emergency response device or related services, you authorize LifeShieldMedical to obtain your device location (including from third parties such as wireless carriers) and to share that location with authorized contacts, first responders, and call centers to provide assistance, which may include near-real-time display in a portal or app. Your consent lasts for the duration of your relationship with us unless revoked. You may revoke consent using the contact method we provide; without consent, we may be unable to provide assistance. See our Privacy Policy for information on data storage and protection.
